1. Provider and Scope
1.1 The Avelis Affiliate Program ("Program") is operated by Avelis Technologies UG (haftungsbeschränkt), Winterhuder Weg 29, 22085 Hamburg, Germany ("Avelis", "we", "us").
1.2 These conditions ("Affiliate Conditions") apply to every person or entity ("Affiliate", "you") who applies to and participates in the Program.
1.3 By submitting an application you accept these Affiliate Conditions in full.
2. Application and Approval
2.1 Participation requires approval. We may accept or reject any application at our sole discretion, without stating reasons.
2.2 Approval is personal and may not be transferred. One Affiliate account per person or entity.
2.3 We may terminate participation at any time with 14 days' notice; for material breach, immediately.
3. Commission
3.1 Commissions are earned on completed, non-refunded sales of Avelis eSIM plans attributable to the Affiliate through the personal voucher or discount code. Top-ups and renewals are commissionable only once the Affiliate has reached more than 100 activations in the Program.
3.2 Tier structure (rolling 30-day performance):
- Starter — 0–50 sales / month — 10 %
- Growth — 51–200 sales / month — 15 %
- Pro — 201+ sales / month — 20 %
3.3 Commissions apply to the net product price (excluding VAT, shipping, third-party fees and any Avelis discount already applied to the transaction).
3.4 Attribution is tied to the personal voucher or discount code assigned to the Affiliate. The Affiliate is credited when a customer enters this code at checkout. No cookie-based tracking is used.
3.5 Commissions are earned only after the customer's cancellation and refund window has expired without a refund being requested.
4. Payouts
4.1 Payouts are processed monthly, net-30 in EUR or USD, via bank transfer, PayPal or Wise.
4.2 Minimum payout threshold is EUR 50 (or USD equivalent). Amounts below the threshold roll over to the next month.
4.3 The Affiliate is responsible for providing correct payout details and for all taxes and levies due in the Affiliate's jurisdiction.
4.4 VAT: if the Affiliate is a VAT-registered business, invoicing follows the applicable reverse-charge rules within the EU.
5. Permitted and Prohibited Practices
5.1 Permitted: honest, disclosed promotion on your own channels, comparison content, editorial reviews, community sharing, and paid ads on your own brand assets.
5.2 Prohibited (non-exhaustive):
- Bidding on "Avelis", "withavelis", or misspellings on any ad network (search, display, social).
- Cookie stuffing, forced clicks, iframe stuffing, adware, or any form of malware.
- Trademark, brand-name or misleading domain registrations (e.g. avelis-esim.com, get-avelis.com).
- Spam (email, SMS, DM, forum, comment) or unsolicited outreach.
- Misrepresenting Avelis products, pricing, or coverage.
- Self-referrals or referrals from accounts under the Affiliate's control.
- Promotion on channels containing hate, adult, illegal, or infringing content.
- Coupon-only, cashback-only, or loyalty sites without prior written approval.
5.3 Violations may result in immediate termination, forfeiture of unpaid commissions, and repayment claims for already-paid commissions relating to fraudulent activity.
6. Marketing Assets and Intellectual Property
6.1 We grant you a limited, revocable, non-exclusive, non-transferable license to use the Avelis name, logo, and marketing assets solely for lawful promotion of Avelis within the Program.
6.2 You must follow the Avelis brand guidelines provided in the partner materials. All goodwill in the Avelis marks accrues to Avelis.
6.3 All content, assets and data you receive within the Program remain the intellectual property of Avelis. You may not modify our logos, distort our brand, or create derivative products under the Avelis name.
7. Data Protection
7.1 Processing of personal data related to Program participation is described in our Privacy Policy.
7.2 The Affiliate is a separate data controller for its own audience data and must comply with the GDPR and applicable data-protection laws in its own marketing.
8. Disclaimer and Liability
8.1 The Program is offered "as is". We do not guarantee any minimum volume, earnings, uptime, or continued availability of assets, dashboards, or referral tracking.
8.2 Our aggregate liability under these Conditions is limited to the total commissions paid to the Affiliate in the 12 months preceding the event giving rise to the claim, except in cases of intent or gross negligence.
9. Changes to the Program
9.1 We may amend these Conditions, commission rates, tier structure, or payout terms at any time. Material changes take effect 14 days after notification to the email associated with the Affiliate account.
9.2 Continued participation after that period constitutes acceptance.
10. Governing Law and Jurisdiction
10.1 These Conditions are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
10.2 Exclusive place of jurisdiction is Hamburg, Germany, provided the Affiliate is a merchant, legal entity under public law, or has no general place of jurisdiction in Germany.
